Welcome to Krypto Chase

Welcome to Krypto Chase.

Krypto Chase exists to inspire adventure, curiosity, creativity, and exploration through professionally organized treasure hunts that challenge Participants to solve puzzles, discover remarkable places, and create unforgettable experiences.

Our Treasure Hunts are designed not merely as competitions, but as opportunities to build memories, test ingenuity, explore communities and public lands, and celebrate the spirit of adventure.

These Terms & Conditions exist to protect Participants, preserve fair competition, and help ensure that every Treasure Hunt is conducted safely, honestly, and with integrity.

We encourage every Participant to compete honorably, respect fellow competitors, protect the communities and natural environments they visit, and remember that no prize is ever more important than personal safety.

Welcome to the adventure.

Definitions

For purposes of these Terms & Conditions:

"Advertised Prize" means the prize identified in the Official Rules for a particular Treasure Hunt.

"Championship Hunt" means any Treasure Hunt for which eligibility is limited to winners of Preliminary Treasure Hunts or other qualifying competitions designated by Krypto Chase.

"Final Quest" means the final required Quest in a Treasure Hunt that becomes available only after completion of all required prerequisite Quests.

"Official Mobile Application" means the mobile application designated by Krypto Chase for administration of a particular Treasure Hunt.

"Official Rules" means the hunt-specific rules, announcements, instructions, and other information published by Krypto Chase for a particular Treasure Hunt.

"Participant" means any individual who registers for or participates in a Treasure Hunt.

"Preliminary Treasure Hunt" means a qualifying Treasure Hunt that may provide eligibility to participate in a Championship Hunt.

"Quest" means an individual challenge, clue, task, checkpoint, or location-based objective forming part of a Treasure Hunt.

"Season" means the collection of Treasure Hunts designated by Krypto Chase as comprising a competitive season.

"Terms" means these Terms & Conditions, as amended from time to time.

"Treasure Hunt" means any competition, event, Quest series, championship, promotion, or challenge administered by Krypto Chase.

"Website" means www.kryptochase.com and any successor website designated by Krypto Chase.

Throughout these Terms, "Krypto Chase," "Company," "we," "our," and "us" refer to Krypto Chase, a business operated by Cohen, Douglas & Lyman, LLC, together with its successors and assigns.

Section 1 – Acceptance of Terms

1.1 Agreement

These Terms govern participation in all Krypto Chase Treasure Hunts, the use of the Website, the Official Mobile Application, and any products or services offered in connection with Krypto Chase.

By registering for, purchasing, accessing, or participating in any Treasure Hunt, each Participant agrees to be legally bound by these Terms, the applicable Official Rules, and all policies incorporated herein by reference.

These Terms also apply to any successor website, mobile application, or platform designated by Krypto Chase.

1.2 Relationship Between These Terms and the Official Rules

Each Treasure Hunt is governed by these Terms together with the Official Rules published for that specific Treasure Hunt.

The Official Rules provide event-specific information such as registration dates, hunt dates, locations, prizes, special procedures, and other requirements unique to that Treasure Hunt.

If an Official Rule conflicts with these Terms, the Official Rule shall control solely with respect to that Treasure Hunt and only to the extent of the conflict.

1.3 Eligibility to Enter This Agreement

Participation is limited to individuals who are at least eighteen (18) years of age and who possess the legal capacity to enter into a legally binding agreement.

Individuals under eighteen (18) years of age may not purchase Krypto Chase products, register for, or participate in any Treasure Hunt.

Additional eligibility requirements may be established in the Official Rules for a particular Treasure Hunt.

1.4 Right to Refuse Service

Krypto Chase reserves the right to refuse service, registration, or participation to any person for any lawful reason, including, without limitation:

Violation of these Terms;

Violation of the Official Rules;

Conduct that compromises the safety or integrity of a Treasure Hunt;

Fraudulent or deceptive conduct; or

Conduct that may reasonably harm the reputation of Krypto Chase, its sponsors, its partners, or its events.

1.5 Electronic Acceptance

Registration for a Treasure Hunt, purchase of a qualifying product, use of the Website or Official Mobile Application, or electronic acceptance of these Terms constitutes the Participant's legally binding acceptance of these Terms.

Electronic acceptance shall have the same force and effect as a handwritten signature to the fullest extent permitted by applicable law.

1.6 Modifications

Krypto Chase reserves the right to modify these Terms from time to time.

Unless otherwise required by law, modifications shall become effective upon publication on the Website or on another date designated by Krypto Chase.

Material modifications shall apply prospectively and shall not materially alter the rules governing a Treasure Hunt that has already commenced except where reasonably necessary to preserve participant safety, comply with applicable law, or protect the integrity of the competition.

By continuing to access the Website, use the Official Mobile Application, register for or participate in a Treasure Hunt, or otherwise use Krypto Chase services after such modifications become effective, the Participant agrees to be bound by the modified terms.

1.7 Electronic Communications

By registering for or participating in a Treasure Hunt, each Participant consents to receive electronic communications from Krypto Chase concerning registration, Official Rules, Treasure Hunts, safety notices, administrative matters, prizes, promotions, and other communications relating to participation or the operation of Krypto Chase.

Participants may opt out of promotional communications where permitted by law, but may continue to receive communications relating to active registrations or participation in a Treasure Hunt.

1.8 Entire Agreement

These Terms, together with the applicable Official Rules, the Krypto Chase Privacy Policy, and any documents expressly incorporated by reference, constitute the complete and exclusive agreement between the Participant and Krypto Chase concerning participation in Treasure Hunts.

These documents supersede all prior oral or written communications relating to the same subject matter.

1.9 Questions Regarding These Terms

Questions regarding these Terms & Conditions may be directed to Krypto Chase through the contact information published on the Website.

Krypto Chase may update its contact information from time to time without amending these Terms.

Section 2 – Eligibility and Registration

2.1 General Eligibility

Unless otherwise provided in the Official Rules for a particular Treasure Hunt, participation is open to individuals who satisfy the eligibility requirements set forth in these Terms.

There are no residency or citizenship requirements for participation. Participants may register for and compete in any Treasure Hunt for which they are otherwise eligible.

2.2 Minimum Age

Participants must be at least eighteen (18) years of age at the time of registration.

By registering for a Treasure Hunt, each Participant represents and warrants that they satisfy this requirement.

2.3 Registration

Registration for each Treasure Hunt shall be completed through the Website or another registration platform designated by Krypto Chase.

Registration is not complete until all required registration steps have been successfully completed and accepted by Krypto Chase.

Krypto Chase reserves the right to establish registration deadlines, participant limits, waiting lists, qualification requirements, or other registration procedures for any Treasure Hunt.

2.4 Purchase of Qualifying Product

Registration for a Treasure Hunt is included with the purchase of a qualifying Krypto Chase digital product, which currently consists of a downloadable electronic book ("e-book").

The purchase price of the qualifying product includes one registration for the designated Treasure Hunt.

Participants acknowledge that they are purchasing the digital product and that Treasure Hunt registration is included as part of that purchase.

2.5 No Refunds

Except where required by applicable law, all purchases of qualifying products are final.

No refunds, credits, exchanges, or cancellations shall be provided after purchase, regardless of whether the Participant ultimately participates in the Treasure Hunt.

2.6 Non-Transferability

Registrations are personal to the registered Participant and may not be sold, assigned, transferred, gifted, or otherwise conveyed to another person.

Notwithstanding the foregoing, Krypto Chase reserves the right, in its sole discretion, to permit transfers or substitutions under limited circumstances, including with respect to qualification for a Championship Hunt.

Any permitted transfer shall occur only in accordance with procedures established by Krypto Chase.

2.7 Identity of Participant

Krypto Chase does not currently require identity verification as a condition of registration.

However, Krypto Chase reserves the right to require identity verification at any time, including before awarding a prize, confirming eligibility, resolving disputes, preventing fraud, or administering a Championship Hunt.

Failure to provide requested verification within the time specified by Krypto Chase may result in disqualification or forfeiture of any prize or qualification.

2.8 Multiple Registrations

Unless otherwise prohibited by the Official Rules, an eligible Participant may register for and participate in multiple Treasure Hunts during a Season.

Registration for one Treasure Hunt does not automatically register the Participant for any other Treasure Hunt.

Separate registration is required for each Treasure Hunt.

2.9 Multiple Preliminary Victories

A Participant may win more than one Preliminary Treasure Hunt during a Season.

Unless otherwise announced by Krypto Chase, each verified Preliminary Treasure Hunt victory entitles the Participant to receive the Advertised Prize for that Treasure Hunt.

A Participant who wins multiple Preliminary Treasure Hunts shall receive only one qualification to participate in the applicable Championship Hunt unless Krypto Chase expressly provides otherwise.

Krypto Chase reserves the right to recognize or provide additional awards, honors, or benefits to Participants who achieve multiple Preliminary Treasure Hunt victories.

2.10 Ineligible Persons

The following individuals are not eligible to receive prizes or be declared winners:

Employees of Krypto Chase;

Members, managers, officers, directors, and owners of Krypto Chase;

Employees, contractors, officers, directors, members, managers, and owners of Skavengerz;

Immediate family members of any of the foregoing; and

Any other individual specifically identified as ineligible in the applicable Official Rules.

For purposes of these Terms, "immediate family member" includes a spouse, parent, child, sibling, grandparent, grandchild, or any individual residing in the same household.

2.11 Teams

Participants are welcome to cooperate with, travel alongside, or otherwise participate as part of an informal team.

However, Krypto Chase recognizes only one official Participant for purposes of registration, Quest completion, winner verification, and prize payment.

Any agreement regarding the sharing of a prize among members of a team is solely the responsibility of those individuals.

Krypto Chase shall have no responsibility or liability for resolving disputes relating to the division of any prize.

2.12 Participant Representations

By registering for a Treasure Hunt, each Participant represents and warrants that:

The information provided during registration is accurate and complete;

The Participant satisfies all eligibility requirements;

The Participant has reviewed and agrees to these Terms and the applicable Official Rules;

The Participant will comply with all applicable laws during participation; and

The Participant will participate honestly and in good faith.

2.13 Reservation of Rights

Krypto Chase reserves the right to reject, suspend, revoke, or cancel any registration obtained through fraud, mistake, technical error, violation of these Terms, violation of the Official Rules, or any other circumstance that reasonably threatens the fairness, safety, integrity, or reputation of a Treasure Hunt.

Section 3 – Treasure Hunt Rules

3.1 Official Rules Govern Each Treasure Hunt

Each Krypto Chase Treasure Hunt is governed by these Terms together with the Official Rules published for that particular Treasure Hunt.

The Official Rules may specify, among other things:

Registration periods;

Hunt dates and times;

Prize descriptions;

Number and type of Quests;

Geographic boundaries;

Special rules applicable only to that Treasure Hunt; and

Other event-specific information.

Participants are responsible for reviewing the applicable Official Rules before participating.

3.2 Announcement of Hunt Details

Krypto Chase may announce information relating to a Treasure Hunt in stages.

As a general guideline, Krypto Chase currently anticipates announcing the official date and start time of a Treasure Hunt, and may further identify or narrow the anticipated geographic area of the Treasure Hunt, after approximately two hundred (200) Participants have registered for that particular Treasure Hunt.

This guideline is intended solely to describe Krypto Chase's current operating practices and does not create any contractual obligation.

Krypto Chase reserves the right, in its sole discretion, to announce, modify, postpone, accelerate, delay, expand, reduce, or otherwise change the timing, manner, or content of any announcement relating to a Treasure Hunt, provided such actions are undertaken in good faith and in a manner intended to preserve the fairness and integrity of the competition.

3.3 Treasure Hunt Format

Each Treasure Hunt consists of one or more location-based Quests administered through the Official Mobile Application or another platform designated by Krypto Chase.

Participants may receive clues, riddles, puzzles, prompts, or other instructions designed to lead them to designated locations or to complete designated tasks.

Upon successfully completing a Quest, Participants may receive additional clues, information, instructions, or access to subsequent Quests.

Unless otherwise stated in the Official Rules, preliminary Quests may be completed in any order.

The Final Quest shall not become available until all required prerequisite Quests have been successfully completed.

3.4 Quest Completion

A Quest is considered completed only when the Krypto Chase system records successful completion through the Official Mobile Application or by another method expressly authorized by Krypto Chase.

Physical arrival at a location alone does not constitute successful completion.

If a Quest requires completion through the Official Mobile Application, failure to complete the required in-app actions shall result in the Quest remaining incomplete.

Krypto Chase's electronic records shall determine whether a Quest has been successfully completed.

3.5 Final Quest

The Final Quest is the final required Quest in a Treasure Hunt.

Unless otherwise stated in the Official Rules, a Participant may not successfully complete the Final Quest until all required prerequisite Quests have been completed.

Completion of the Final Quest determines the apparent winner, subject to verification by Krypto Chase.

3.6 Determination of Winner

Unless otherwise provided in the Official Rules, the winner of a Treasure Hunt shall be the first eligible Participant whose successful completion of all required Quests, including the Final Quest, is verified by Krypto Chase.

Krypto Chase's electronic records, server logs, timestamps, application records, GPS verification records, and platform records shall constitute the official record for determining Quest completion, completion order, winner verification, and related matters.

No Participant acquires any ownership interest in any Advertised Prize until Krypto Chase has verified the Participant's eligibility, confirmed compliance with these Terms and the applicable Official Rules, and officially declared the Participant to be the winner.

3.7 No Physical Treasure

Unless expressly stated otherwise in the Official Rules, Krypto Chase does not hide cash, Bitcoin, checks, wallets, gift cards, or other prizes in the field.

Completion of a Treasure Hunt through the official Krypto Chase process entitles the verified winner to receive the Advertised Prize directly from Krypto Chase following completion of winner verification.

Participants should not dig, damage property, dismantle objects, disturb natural resources, or search in any unsafe, unlawful, closed, or restricted area.

3.8 Use of Technology

Participants may use any lawful technology, equipment, software, maps, navigation tools, search engines, artificial intelligence tools, drones, aircraft, radios, cameras, or other devices during a Treasure Hunt unless expressly prohibited by the Official Rules or applicable law.

Participants remain solely responsible for complying with all applicable laws, regulations, property rules, permit requirements, and restrictions governing the use of such technology or equipment.

3.9 Navigation and Travel

Participants are solely responsible for determining their own travel routes.

Krypto Chase does not guarantee that any suggested, apparent, or available route is the safest, shortest, most efficient, or legally permissible route.

Participants must obey all traffic laws, posted signs, closures, restrictions, permit requirements, and instructions issued by governmental authorities, emergency personnel, property owners, or lawful occupants.

3.10 GPS and Connectivity

Certain Quests require GPS verification, internet connectivity, and use of the Official Mobile Application.

Participants acknowledge that GPS accuracy, cellular coverage, satellite reception, internet connectivity, and mobile device performance may vary.

Krypto Chase does not guarantee uninterrupted service, continuous connectivity, precise GPS accuracy, or successful transmission of data from any particular location.

Participants assume all risk associated with loss of connectivity, reduced GPS accuracy, depleted batteries, device failures, software failures, hardware failures, or other technological issues affecting participation.

3.11 Technical Problems

Krypto Chase is not responsible for delays, failures, or disadvantages resulting from:

Internet outages;

Cellular network interruptions;

GPS inaccuracies;

Satellite interruptions;

Device malfunctions;

Battery depletion;

Third-party software failures;

Power outages;

Application errors;

Server delays;

Mapping inaccuracies; or

Other technological events beyond Krypto Chase's reasonable control.

Krypto Chase reserves the right to modify or temporarily suspend a Treasure Hunt if reasonably necessary to preserve fairness, Participant safety, legal compliance, or the integrity of the competition.

3.12 Hints, Clarifications, and Corrections

Krypto Chase may, but is not obligated to, release additional hints, clarifications, corrections, supplemental information, or modified instructions during a Treasure Hunt.

The timing, frequency, content, and method of releasing such information shall be determined solely by Krypto Chase.

Participants acknowledge that some Treasure Hunts may include no additional hints.

Any hint, clarification, correction, supplemental information, or modified instruction issued by Krypto Chase shall become part of the Official Rules for that Treasure Hunt.

3.13 Fair Competition

Participants are expected to compete honestly and in good faith.

Creative problem-solving, teamwork, strategic planning, lawful research, and innovative approaches to solving clues are encouraged.

Participants shall not engage in fraud, deception, technological manipulation, GPS spoofing, unauthorized access to systems or information, interference with other Participants, tampering with Quest verification, or any other conduct intended to undermine the fairness or integrity of a Treasure Hunt.

Krypto Chase reserves the right to investigate suspected violations and to take appropriate action, including disqualification.

3.14 Spirit of the Hunt

Krypto Chase designs its Treasure Hunts to reward creativity, observation, puzzle-solving, navigation, strategic thinking, and lawful ingenuity.

A Participant shall not be disqualified solely because the Participant solves a clue, puzzle, Quest, or Treasure Hunt in a manner not anticipated by Krypto Chase, provided the Participant complies with these Terms, the Official Rules, and all applicable laws.

The objective of Krypto Chase is to reward ingenuity within the rules of the competition. Participants who discover creative or unexpected solutions through legitimate means remain eligible to win.

3.15 Official Decisions

Except where prohibited by applicable law, all decisions made by Krypto Chase regarding Quest completion, timestamps, interpretation of clues, Participant eligibility, application of the Official Rules, administration of a Treasure Hunt, winner verification, and winner determination shall be final and binding.

Krypto Chase will administer Treasure Hunts in good faith with the objective of preserving fair competition, Participant safety, and the integrity of the Krypto Chase experience.

Section 4 – Participant Conduct

4.1 Standard of Conduct

Participants are expected to conduct themselves in a safe, lawful, respectful, and sportsmanlike manner at all times before, during, and after participation in any Krypto Chase Treasure Hunt.

Participants are responsible for their own actions and for ensuring that their conduct does not endanger themselves, other Participants, spectators, property owners, Krypto Chase personnel, or members of the public.

4.2 Compliance with Laws

Participants shall comply with all applicable federal, state, provincial, and local laws, regulations, ordinances, permits, and lawful orders of governmental authorities while participating in a Treasure Hunt.

Nothing contained in any clue, riddle, Quest, map, instruction, or other communication issued by Krypto Chase authorizes, requires, or encourages a Participant to violate any law.

4.3 Respect for Property

Participants shall respect public and private property at all times.

Participants shall not:

Trespass on private property without permission;

Enter closed, restricted, or prohibited areas;

Bypass fences, gates, barriers, warning signs, or access restrictions;

Damage vegetation, structures, monuments, equipment, or natural resources;

Remove, alter, disturb, or vandalize property belonging to others; or

Leave litter or otherwise fail to follow applicable Leave No Trace principles.

If access to a location requires payment of an admission fee, parking fee, permit, reservation, or other lawful charge, the Participant is solely responsible for obtaining any required authorization.

4.4 Respect for Other Participants

Participants shall compete fairly and shall not intentionally interfere with another Participant's ability to compete.

Prohibited conduct includes, but is not limited to:

Blocking or impeding another Participant's movement;

Threatening, intimidating, or harassing another Participant;

Providing false or intentionally misleading information to another Participant for the purpose of interfering with that Participant's progress; or

Engaging in any other conduct intended to unfairly interfere with another Participant's ability to compete.

Nothing in this Section prohibits Participants from voluntarily cooperating or competing together as members of a team.

4.5 Interference with the Event

Participants shall not remove, damage, conceal, obstruct, relocate, alter, tamper with, or otherwise interfere with any sign, marker, QR code, geolocation point, equipment, temporary installation, or other property placed, designated, or used by Krypto Chase in connection with a Treasure Hunt.

Participants shall not interfere with Krypto Chase personnel, contractors, volunteers, sponsors, vendors, or other authorized representatives performing official duties.

4.6 Safe Operation of Vehicles

Participants are solely responsible for safely operating any vehicle used during a Treasure Hunt.

Participants shall obey all traffic laws and shall not use the Official Mobile Application or interact with electronic devices in a manner prohibited by applicable law while operating a motor vehicle.

Krypto Chase strongly encourages Participants to safely stop their vehicle before reviewing clues, entering information, or otherwise interacting with a mobile device.

4.7 Prohibited Conduct

Without limiting any other provision of these Terms, Participants shall not:

Cheat or engage in fraudulent conduct;

Attempt to manipulate the outcome of a Treasure Hunt;

Falsify or spoof GPS or location data;

Use software or hardware intended to deceive or manipulate the Official Mobile Application or Krypto Chase systems;

Reverse engineer, exploit, or interfere with the operation of any Krypto Chase technology;

Gain unauthorized access to any account, system, server, or data;

Impersonate another Participant;

Create multiple accounts to evade these Terms or gain an unfair advantage;

Knowingly submit false information;

Tamper with Quest verification; or

Engage in any conduct that compromises the fairness, safety, or integrity of a Treasure Hunt.

4.8 Alcohol and Controlled Substances

Participants shall not participate while impaired by alcohol, illegal drugs, or any substance that renders the Participant incapable of safely participating.

Nothing in this Section prohibits the lawful use of prescription medication taken as directed by a licensed healthcare provider.

4.9 Animals

Participants bringing pets or other animals remain solely responsible for their supervision, care, and compliance with applicable laws, park regulations, and property rules.

Krypto Chase assumes no responsibility for animals accompanying Participants.

4.10 Communications

Participants shall communicate respectfully with Krypto Chase personnel, volunteers, sponsors, venue operators, property owners, governmental officials, and other Participants.

Abusive, threatening, discriminatory, harassing, or intimidating communications or conduct may result in disqualification or removal from a Treasure Hunt.

4.11 Investigation of Violations

Krypto Chase reserves the right to investigate any suspected violation of these Terms or the Official Rules.

Participants agree to reasonably cooperate with such investigations.

Failure to cooperate may result in disqualification or other disciplinary action.

4.12 Disciplinary Action

If Krypto Chase reasonably determines that a Participant has violated these Terms, the Official Rules, or applicable law, Krypto Chase may, in its sole discretion:

Issue a warning;

Require corrective action;

Suspend the Participant from the current Treasure Hunt;

Disqualify the Participant;

Revoke eligibility for future Treasure Hunts;

Withhold or revoke an Advertised Prize prior to official award; or

Take any other action reasonably necessary to preserve Participant safety or the fairness and integrity of the competition.

Nothing in this Section limits any other remedies available to Krypto Chase under these Terms or applicable law.

4.13 Stewardship

Krypto Chase encourages every Participant to leave each location better than it was found.

Participants are expected to respect local communities, businesses, public lands, private property owners, and fellow outdoor enthusiasts.

The reputation of Krypto Chase depends upon the conduct of its Participants. Every Participant is encouraged to serve as a positive ambassador for the Treasure Hunt community by demonstrating courtesy, integrity, respect, and responsible stewardship of the places visited during each Treasure Hunt.

Section 5 – Safety and Assumption of Risk

5.1 Participant Responsibility

Participation in a Krypto Chase Treasure Hunt is entirely voluntary.

Each Participant is solely responsible for determining whether it is safe and appropriate to participate based upon the Participant's own physical condition, abilities, experience, equipment, weather conditions, environmental conditions, and other relevant circumstances.

Participants are responsible for their own safety at all times.

No Advertised Prize is worth risking injury, illness, death, or damage to property.

5.2 Compliance with Safety Requirements

Participants shall comply with all applicable laws, posted warnings, safety signs, trail closures, road closures, weather advisories, permit requirements, and lawful instructions issued by governmental authorities, emergency personnel, property owners, or Krypto Chase.

If a Participant encounters a condition that appears unsafe, the Participant should discontinue travel, leave the area if appropriate, and place personal safety above continuation of the Treasure Hunt.

5.3 Safe Participation

Participants are expected to exercise reasonable care, sound judgment, and personal responsibility throughout each Treasure Hunt.

As appropriate for the anticipated conditions, Participants should:

Wear suitable clothing and footwear;

Carry sufficient food and drinking water;

Carry appropriate navigation and communication equipment;

Monitor weather forecasts and changing conditions;

Be aware of changing trail, road, and environmental conditions;

Inform others of their travel plans when appropriate;

Avoid unnecessary risks; and

Prepare for emergencies.

These examples are not exhaustive and do not reduce the Participant's responsibility for their own safety.

5.4 Driving Safety

Many Treasure Hunts require significant travel by motor vehicle.

Participants shall obey all traffic laws and safely operate any vehicle used during a Treasure Hunt.

Participants shall not read clues, operate the Official Mobile Application, send messages, enter information, or otherwise use electronic devices while operating a motor vehicle in violation of applicable law.

Krypto Chase strongly encourages Participants to safely stop their vehicle before reviewing clues, interacting with the Official Mobile Application, or otherwise using a mobile device.

5.5 Public Lands and Outdoor Areas

Treasure Hunts may involve travel through public lands, parks, forests, trails, recreational areas, wilderness areas, urban environments, or other outdoor locations.

Participants acknowledge that such locations may contain natural or man-made hazards including, but not limited to:

Uneven terrain;

Loose rocks and gravel;

Cliffs and steep slopes;

Water hazards;

Wildlife;

Insects;

Poisonous plants;

Extreme temperatures;

Snow and ice;

Lightning;

Flooding;

Falling trees or branches;

Construction areas;

Vehicle traffic; and

Other known or unknown hazards.

Participants voluntarily assume all risks associated with entering and traveling through such areas.

5.6 Assumption of Risk

Participants understand and acknowledge that participation in a Treasure Hunt involves inherent risks that cannot be eliminated.

Such risks include, without limitation:

Motor vehicle accidents;

Hiking-related injuries;

Slips, trips, and falls;

Heat-related illness;

Cold-related illness;

Wildlife encounters;

Weather-related hazards;

Physical exertion;

Equipment failure;

Acts or omissions of other Participants;

Acts or omissions of third parties; and

Other known and unknown risks associated with travel and outdoor recreational activities.

By participating in a Treasure Hunt, each Participant knowingly and voluntarily assumes all such risks, whether known or unknown.

5.7 Medical Emergencies

Participants are solely responsible for obtaining any necessary medical treatment.

Krypto Chase has no duty to provide medical care, emergency rescue, transportation, or other emergency services.

If a Participant requires emergency assistance, the Participant should immediately contact the appropriate emergency services by dialing 911 or the applicable emergency number.

5.8 Suspension for Safety

If Krypto Chase reasonably determines that continuing a Treasure Hunt presents an unreasonable risk to Participant safety or to the integrity of the competition, Krypto Chase may temporarily suspend, postpone, modify, or otherwise adjust the Treasure Hunt.

Circumstances may include, but are not limited to:

Wildfires;

Severe weather;

Natural disasters;

Road or trail closures;

Governmental emergency orders;

Dangerous environmental conditions;

Public safety concerns;

Significant technical failures affecting Participant safety; or

Other circumstances that reasonably warrant such action.

Krypto Chase will communicate such actions through the Website, the Official Mobile Application, email, text message, social media, or any other reasonable method.

5.9 Emergency Situations

Participants should immediately discontinue participation and seek appropriate assistance if they experience injury, illness, dangerous weather, hazardous environmental conditions, or any other circumstance that creates an unreasonable risk to personal safety.

Participants are encouraged to render reasonable assistance to others experiencing genuine emergencies when it is safe and appropriate to do so.

5.10 No Warranty of Safety

Krypto Chase does not inspect every road, trail, park, property, or location associated with a Treasure Hunt.

Krypto Chase makes no representation or warranty that any location is free from hazards or suitable for any particular Participant.

Participants remain solely responsible for evaluating conditions encountered during a Treasure Hunt and determining whether to continue participation.

5.11 Participant Release

To the fullest extent permitted by applicable law, each Participant releases and forever discharges Krypto Chase, Cohen, Douglas & Lyman, LLC, Skavengerz, and each of their respective owners, members, managers, officers, directors, employees, contractors, volunteers, licensors, sponsors, successors, assigns, and affiliated entities from any and all claims, demands, causes of action, liabilities, damages, losses, costs, and expenses arising out of or relating to participation in any Treasure Hunt, except to the extent resulting from willful misconduct, gross negligence where applicable law prohibits waiver, or any other liability that cannot legally be waived.

5.12 Survival

The provisions of this Section shall survive completion of a Treasure Hunt, disqualification, termination of participation, payment of any prize, and any expiration or termination of these Terms.

5.13 No Clue Requires Unsafe Conduct

No clue, riddle, Quest, instruction, map, hint, or other communication issued by Krypto Chase should ever be interpreted as requiring a Participant to violate the law, ignore posted warnings, enter closed or restricted areas, trespass, continue into unsafe conditions, or otherwise place themselves or others at unreasonable risk.

If compliance with any clue or Quest would require unsafe or unlawful conduct, the Participant should immediately discontinue that activity, prioritize personal safety, and notify Krypto Chase if appropriate.

If it is not safe or lawful, it is not part of the Treasure Hunt.

Section 6 – Prize Administration

6.1 Advertised Prize

The Advertised Prize for each Treasure Hunt shall be described in the applicable Official Rules.

Krypto Chase reserves the right to offer different prize amounts, prize structures, qualification requirements, or promotional awards for different Treasure Hunts or Seasons.

6.2 Winner Verification

An apparent winner is not an official winner until Krypto Chase has:

Verified completion of all required Quests;

Verified the Participant's eligibility;

Confirmed compliance with these Terms and the Official Rules;

Completed any investigation deemed reasonably necessary; and

Officially declared the Participant to be the winner.

Until winner verification has been completed, no Participant acquires any ownership interest in an Advertised Prize.

6.3 Prize Options

Unless otherwise specified in the Official Rules, the verified winner of a Preliminary Treasure Hunt may elect to receive either:

Five Thousand Dollars (US $5,000.00) in Bitcoin; or

Five Thousand Dollars (US $5,000.00) by check or another payment method designated by Krypto Chase.

If a different prize is offered for a particular Treasure Hunt, the Official Rules for that Treasure Hunt shall control.

6.4 Bitcoin Valuation

If a winner elects to receive Bitcoin, the amount of Bitcoin awarded shall be determined based upon the fair market value of Bitcoin at the time designated by Krypto Chase for prize calculation.

Krypto Chase shall use a commercially reasonable and consistently applied method to determine such value.

6.5 Payment of Prize

Prize payments shall be made within a reasonable period following completion of winner verification.

Krypto Chase may require the winner to execute reasonable documents necessary to verify eligibility, satisfy tax reporting obligations, or facilitate prize payment.

6.6 Taxes

Each winner is solely responsible for any federal, state, provincial, local, or other taxes arising from receipt of a prize.

Krypto Chase may issue any tax forms required by applicable law and may require a winner to provide taxpayer identification information before prize payment.

Participants are encouraged to consult their own tax advisor regarding the tax consequences of receiving a prize.

6.7 Forfeiture

A prize may be forfeited if the apparent winner:

Is determined to be ineligible;

Violates these Terms or the Official Rules;

Fails to complete required winner verification;

Refuses to execute reasonably required documentation;

Fails to claim the prize within the period established by Krypto Chase; or

Otherwise fails to satisfy the conditions for receiving the prize.

Krypto Chase may determine an alternate winner or take such other action as it deems appropriate under the circumstances.

6.8 No Substitution or Transfer

Except as expressly authorized by Krypto Chase, prizes are non-transferable and may not be assigned, sold, pledged, exchanged, or substituted.

Krypto Chase reserves the right to substitute a prize of equal or greater value if circumstances beyond its reasonable control make the advertised prize unavailable.

6.9 Multiple Preliminary Victories

A Participant who wins multiple Preliminary Treasure Hunts during a Season shall receive the Advertised Prize associated with each verified victory.

Unless Krypto Chase expressly announces otherwise, such Participant shall receive only one qualification to participate in the applicable Championship Hunt.

Krypto Chase reserves the right to recognize or provide additional awards, honors, or benefits to Participants achieving multiple Preliminary Treasure Hunt victories.

6.10 No Guarantee of Future Eligibility

Winning one Treasure Hunt does not guarantee eligibility for future Treasure Hunts, Championship Hunts, promotional events, or other Krypto Chase competitions except as expressly provided in the applicable Official Rules.

6.11 Winner Interviews

As a condition of receiving the Advertised Prize for a Preliminary Treasure Hunt, the verified winner must participate in at least one interview conducted by or on behalf of Krypto Chase.

Such interview may be conducted in person, by telephone, by video conference, or by another reasonable method designated by Krypto Chase.

The interview may include discussion of the Participant's background, Treasure Hunt experience, strategy, reactions, and other topics relating to Krypto Chase or the competition.

Nothing in this Section requires Krypto Chase to conduct any interview.

Failure to participate in the required post-hunt interview may result in forfeiture of the Advertised Prize.

6.12 Championship Media Participation

Each Preliminary Treasure Hunt winner agrees to make themselves reasonably available for at least one additional interview, media appearance, promotional session, documentary production, or similar activity prior to the applicable Championship Hunt if requested by Krypto Chase.

Krypto Chase will make reasonable efforts to accommodate the winner's schedule.

Failure to reasonably cooperate with such requests may result in forfeiture of eligibility to participate in the applicable Championship Hunt unless Krypto Chase determines that good cause exists for the Participant's inability to participate.

6.13 Winner Story Rights

As a condition of receiving an Advertised Prize, each verified winner grants Krypto Chase a perpetual, worldwide, irrevocable, royalty-free, transferable, and sublicensable license to photograph, film, record, edit, reproduce, publish, distribute, publicly display, publicly perform, broadcast, transmit, create derivative works from, and otherwise use the winner's:

Name;

Nickname;

Image;

Photograph;

Voice;

Likeness;

Hometown;

Occupation;

Biographical information;

Interview responses;

Treasure Hunt footage;

Championship footage;

Audio recordings;

Video recordings;

Promotional appearances; and

Any other content voluntarily created for or provided to Krypto Chase in connection with the Treasure Hunt.

These rights may be exercised in any media now known or later developed, including websites, social media, streaming services, documentaries, podcasts, advertising, educational materials, promotional campaigns, television programming, and future media formats.

No additional compensation shall be owed beyond the Advertised Prize unless otherwise agreed in writing by Krypto Chase.

6.14 Hall of Champions

Krypto Chase may maintain a permanent public record recognizing winners of Treasure Hunts and Championship Hunts.

Such record may include the winner's name, hometown, Treasure Hunt won, date of victory, photographs, and other information relating to the Participant's accomplishment.

The Hall of Champions is intended to celebrate the history of Krypto Chase and recognize the achievements of its winners.

6.15 Final Authority Regarding Prizes

Except where prohibited by applicable law, all decisions by Krypto Chase concerning prize eligibility, winner verification, forfeiture, payment, substitution, valuation, and administration shall be final and binding.

Section 7 – Mobile Application, Technology, and Location Services

7.1 Official Technology Platforms

Participation in a Krypto Chase Treasure Hunt requires the use of the technology platforms designated by Krypto Chase.

Unless otherwise specified in the applicable Official Rules, Treasure Hunts shall be administered through the Official Mobile Application together with the Website and any other technology designated by Krypto Chase.

Krypto Chase reserves the right to utilize, replace, supplement, or discontinue technology platforms for future Treasure Hunts.

7.2 Device Requirements

Participants are solely responsible for providing, maintaining, and operating all equipment necessary to participate, including, without limitation:

A compatible mobile device;

Internet access;

Cellular service;

GPS capability;

Sufficient battery power;

Appropriate charging equipment; and

Any other hardware or software reasonably necessary to participate.

Krypto Chase does not guarantee compatibility with every device, operating system, software version, wireless carrier, or network.

7.3 Location Services

Participants acknowledge that successful participation may require the collection and use of precise location information.

By participating in a Treasure Hunt, each Participant expressly consents to the collection, processing, storage, and use of GPS data and other location information for purposes including:

Quest verification;

Timestamp verification;

Administration of the Treasure Hunt;

Fraud prevention;

Security;

Technical troubleshooting;

Investigation of suspected rule violations; and

Improvement of future Treasure Hunts.

Location information shall be collected and handled in accordance with the Krypto Chase Privacy Policy.

7.4 GPS Verification

Completion of certain Quests requires successful verification through GPS or other location-verification technology approved by Krypto Chase.

GPS readings may vary due to weather, terrain, buildings, satellite availability, network conditions, hardware limitations, software limitations, or other factors beyond Krypto Chase's control.

Krypto Chase shall determine, in good faith, whether a Participant has successfully satisfied the location requirements for a particular Quest based upon the information reasonably available to it.

7.5 Technical Limitations

Participants acknowledge that no technology system is free from interruption, delay, inaccuracy, or error.

Krypto Chase does not warrant that:

The Official Mobile Application will operate without interruption;

GPS services will always function correctly;

Cellular service will always be available;

Servers will remain continuously operational;

Data transmission will occur without delay;

Maps or mapping services will always be accurate; or

Software will be free from defects.

Temporary interruptions or technical issues do not automatically invalidate or extend a Treasure Hunt.

7.6 Acceptable Use

Participants shall use the Website, the Official Mobile Application, and all related technology solely for their intended purposes.

Participants shall not:

Attempt to bypass Quest requirements;

Modify or interfere with application functionality;

Reverse engineer, decompile, or exploit any software;

Use automated scripts, bots, macros, or unauthorized software;

Manipulate timestamps or GPS information;

Attempt to gain unauthorized access to Participant accounts or Krypto Chase systems;

Introduce malware, viruses, or malicious code;

Interfere with the operation of a Treasure Hunt; or

Attempt to circumvent any security or verification measure implemented by Krypto Chase.

7.7 GPS Spoofing and Fraud

The use of GPS spoofing software, location simulators, emulator software, modified operating systems, virtual devices, or any other technology intended to falsify or manipulate a Participant's location or Quest completion is strictly prohibited.

Any Participant reasonably suspected of engaging in such conduct may be immediately suspended or disqualified pending investigation.

7.8 Software Updates

Participants are responsible for maintaining current versions of the Official Mobile Application, operating systems, and other required software.

Krypto Chase shall not be responsible for failures resulting from outdated software, unsupported devices, incompatible hardware, or failure to install required updates.

7.9 Third-Party Services

Participation may require services provided by third parties, including mobile operating systems, wireless carriers, internet service providers, mapping providers, cloud hosting providers, payment processors, and other technology vendors.

Krypto Chase is not responsible for the acts, omissions, interruptions, policies, performance, security, or availability of any third-party service provider.

7.10 Data Integrity and Verification

Krypto Chase reserves the right to review application logs, GPS records, server records, timestamps, device information, account activity, and other technical data when investigating suspected rule violations or determining Quest completion, winner eligibility, or compliance with these Terms.

Such records may be used as evidence in resolving disputes concerning Quest completion, timestamps, Participant eligibility, or administration of a Treasure Hunt.

7.11 System Modifications

Krypto Chase reserves the right to update, improve, modify, replace, suspend, or discontinue any aspect of the Website, Official Mobile Application, Quest system, verification methods, or other technology platforms at any time.

Such changes shall not materially affect an ongoing Treasure Hunt except as reasonably necessary to preserve fairness, Participant safety, legal compliance, system security, or the integrity of the competition.

7.12 Account Security

Participants are responsible for maintaining the confidentiality and security of their login credentials and any account used to participate in a Treasure Hunt.

Participants shall promptly notify Krypto Chase of any suspected unauthorized access to their account.

Krypto Chase is not responsible for losses resulting from a Participant's failure to safeguard account credentials or from unauthorized use of an account caused by the Participant's own actions or omissions.

7.13 Technology Decisions

Except where prohibited by applicable law, Krypto Chase's reasonable determinations regarding the operation of the Official Mobile Application, GPS verification, timestamps, server records, technical logs, software functionality, and other technology-related matters shall be final and binding for purposes of administering a Treasure Hunt.

Section 8 – Privacy, Data Collection, Media Rights, and Intellectual Property

8.1 Privacy Policy

Krypto Chase collects and processes certain personal information in connection with Participant registration, administration of Treasure Hunts, prize fulfillment, customer support, marketing, and operation of its Website and Official Mobile Application.

The collection, use, storage, disclosure, and protection of personal information are governed by the Krypto Chase Privacy Policy, which is incorporated into these Terms by reference.

By registering for or participating in a Treasure Hunt, each Participant acknowledges that they have reviewed or had the opportunity to review the Privacy Policy.

8.2 Information Collected

Krypto Chase may collect information including, but not limited to:

Name;

Email address;

Telephone number;

Mailing address;

Payment information;

Device information;

GPS and location data;

Quest completion data;

Application usage information;

Communications with Krypto Chase;

Photographs, videos, and audio recordings;

Tax reporting information; and

Any other information voluntarily provided by the Participant.

8.3 Use of Information

Krypto Chase may use Participant information for purposes including:

Administering Treasure Hunts;

Verifying Quest completion;

Determining winners;

Prize fulfillment;

Customer support;

Fraud prevention;

Security;

Improving the Website, Official Mobile Application, and future Treasure Hunts;

Producing promotional, educational, and documentary content;

Marketing Krypto Chase products and services; and

Any other lawful business purpose consistent with the Privacy Policy.

8.4 Media Capture

Treasure Hunts may be photographed, filmed, livestreamed, recorded, or otherwise documented by Krypto Chase, its contractors, sponsors, media partners, or other authorized representatives.

Participants acknowledge that they may appear in photographs, videos, audio recordings, livestreams, broadcasts, or other media captured during participation.

8.5 Participant Publicity Release

As a condition of participation, each Participant grants Krypto Chase a perpetual, worldwide, irrevocable, royalty-free, transferable, sublicensable license to photograph, film, record, edit, reproduce, publish, distribute, publicly display, publicly perform, broadcast, transmit, create derivative works from, and otherwise use the Participant's:

Name;

Nickname;

Voice;

Image;

Photograph;

Video likeness;

Hometown;

State or country of residence;

Biographical information voluntarily provided;

Statements;

Interviews;

Participation in any Treasure Hunt; and

Other content voluntarily created for or provided to Krypto Chase in connection with a Treasure Hunt.

Such use may occur in any media now known or later developed, including websites, social media platforms, streaming services, television programming, podcasts, documentaries, printed publications, advertisements, promotional campaigns, educational materials, and future media formats.

Except as otherwise expressly agreed in writing or required by law, no additional compensation shall be owed for such use.

Nothing in this Section limits any additional publicity or media rights granted by a verified winner pursuant to Section 6.

8.6 User-Generated Content

Participants may voluntarily submit photographs, videos, written stories, comments, testimonials, social media posts, artwork, or other content relating to Krypto Chase.

By submitting such content directly to Krypto Chase or by expressly granting Krypto Chase permission to use such content, the Participant grants Krypto Chase a perpetual, worldwide, irrevocable, transferable, sublicensable, royalty-free license to use, reproduce, publish, edit, modify, distribute, display, create derivative works from, and otherwise exploit such content for any lawful business purpose.

Each Participant represents and warrants that they possess the necessary rights to grant this license.

8.7 Social Media

Participants are encouraged to share their Treasure Hunt experiences on social media.

Subject to applicable law and the rights granted by the Participant, Krypto Chase may repost, share, comment upon, link to, feature, or otherwise use publicly available social media content relating to Krypto Chase or its Treasure Hunts.

8.8 Communications

By registering for a Treasure Hunt, Participants consent to receive communications from Krypto Chase regarding:

Registration;

Treasure Hunt announcements;

Official hints;

Rule clarifications;

Prize administration;

Future Treasure Hunts;

Promotions;

Surveys; and

Other information relating to Krypto Chase.

Participants may unsubscribe from promotional communications where permitted by applicable law. Transactional and administrative communications relating to active registrations or participation may continue.

8.9 Data Security

Krypto Chase employs commercially reasonable administrative, technical, and organizational safeguards intended to protect Participant information.

However, no method of electronic transmission or electronic storage can be guaranteed to be completely secure.

Participants acknowledge that all information transmitted electronically is provided at their own risk.

8.10 Third-Party Services

Krypto Chase may utilize third-party providers for payment processing, email communications, cloud hosting, mapping services, analytics, customer support, mobile applications, marketing, and other business functions.

Participant information may be shared with such providers to the extent reasonably necessary to provide Krypto Chase products and services.

Krypto Chase is not responsible for the privacy practices or policies of independent third-party providers.

8.11 Intellectual Property

Unless otherwise expressly stated, all intellectual property associated with Krypto Chase, including its Treasure Hunts, Quest designs, riddles, clues, graphics, logos, trademarks, trade dress, software, website content, videos, photographs, audio recordings, written materials, promotional content, and other original works, is owned by or licensed to Krypto Chase and is protected by applicable intellectual property laws.

Except as necessary to participate in a Treasure Hunt, Participants acquire no ownership interest or license in any Krypto Chase intellectual property.

Participants shall not copy, reproduce, distribute, modify, publish, sell, reverse engineer, exploit, or create derivative works from Krypto Chase intellectual property without prior written permission, except as otherwise permitted by applicable law.

8.12 Survival

The licenses, permissions, acknowledgments, and intellectual property provisions contained in this Section shall survive completion of a Treasure Hunt, withdrawal from participation, disqualification, termination of participation, payment of any prize, and termination of these Terms.

Section 9 – Disqualification, Enforcement, and Dispute Resolution

9.1 Grounds for Disqualification

Krypto Chase may suspend, disqualify, or declare ineligible any Participant who, in the reasonable good-faith judgment of Krypto Chase:

Violates these Terms;

Violates the Official Rules;

Violates applicable law while participating in a Treasure Hunt;

Provides false or misleading information;

Engages in fraud, deception, or dishonest conduct;

Manipulates or attempts to manipulate the outcome of a Treasure Hunt;

Uses GPS spoofing, emulator software, modified devices, or other prohibited technology;

Interferes with another Participant or with the administration of a Treasure Hunt;

Engages in unsafe conduct;

Damages property or natural resources;

Harasses, threatens, intimidates, or abuses another person;

Attempts to gain unauthorized access to Krypto Chase systems or accounts;

Refuses to cooperate with a reasonable investigation; or

Otherwise compromises the fairness, integrity, safety, or reputation of Krypto Chase or its Treasure Hunts.

9.2 Investigations

Krypto Chase may investigate any suspected violation of these Terms or the Official Rules.

Participants agree to reasonably cooperate with such investigations and, where appropriate and permitted by applicable law, provide information reasonably requested by Krypto Chase, including:

Device information;

GPS records;

Screenshots;

Photographs;

Video recordings;

Witness information;

Communications relating to the Treasure Hunt;

Account activity; and

Other information reasonably necessary to investigate the matter.

Failure to reasonably cooperate may result in disqualification or other appropriate action.

9.3 Temporary Suspension

While an investigation is pending, Krypto Chase may temporarily suspend a Participant's eligibility, withhold prize payment, delay winner verification, or take other reasonable interim action necessary to preserve the fairness, safety, or integrity of the Treasure Hunt.

9.4 Standard of Review

Krypto Chase will make reasonable efforts to investigate alleged violations fairly, impartially, and in good faith.

Participants acknowledge that Treasure Hunts often require prompt decisions based upon the information reasonably available at the time.

Accordingly, Krypto Chase may rely upon application records, GPS data, server logs, timestamps, photographs, videos, witness statements, Participant communications, and other relevant information in making administrative decisions.

9.5 Official Records

The official records maintained by Krypto Chase, including server logs, timestamps, GPS verification records, application records, and other electronic records, shall be presumed accurate absent clear and convincing evidence to the contrary.

9.6 Appeals

A Participant who has been disqualified or determined to be ineligible may submit a written appeal within seven (7) calendar days after notification of the decision.

The appeal shall identify the decision being challenged and include any supporting information the Participant wishes Krypto Chase to consider.

Krypto Chase will review the appeal in good faith.

The decision following review shall be final.

Nothing in this Section requires Krypto Chase to delay prize payment, postpone a Treasure Hunt, or suspend administration of the competition while an appeal is pending.

9.7 Effect of Disqualification

A Participant who is disqualified may:

Forfeit any claim to an Advertised Prize;

Forfeit eligibility for a Championship Hunt;

Lose eligibility for future Treasure Hunts;

Have their registration revoked; and

Be prohibited from participating in future Krypto Chase events.

Disqualification does not limit any other rights or remedies available to Krypto Chase.

9.8 Reservation of Remedies

Disqualification is not the exclusive remedy available to Krypto Chase.

Krypto Chase reserves all rights and remedies available under these Terms and applicable law, including seeking injunctive relief, damages, recovery of costs where permitted by law, and any other appropriate legal or equitable remedy.

9.9 Final Authority

Except where prohibited by applicable law, Krypto Chase shall have final authority regarding:

Interpretation of these Terms;

Interpretation of the Official Rules;

Administration of Treasure Hunts;

Quest verification;

Winner verification;

Participant eligibility;

Prize awards;

Rule enforcement; and

Resolution of disputes arising from participation.

9.10 Good Faith Administration

Krypto Chase will administer each Treasure Hunt in good faith with the objective of maintaining a fair, enjoyable, safe, and competitive experience for all Participants.

No provision of these Terms shall be interpreted to require Krypto Chase to ignore fraud, unsafe conduct, technical manipulation, or other actions that undermine the fairness or integrity of a Treasure Hunt.

9.11 Errors and Corrections

Despite Krypto Chase's efforts to ensure accuracy, clues, riddles, maps, coordinates, images, software, Quest materials, instructions, or other Treasure Hunt content may occasionally contain errors or become affected by circumstances beyond Krypto Chase's reasonable control.

Krypto Chase reserves the right to issue corrections, clarifications, replacement clues, adjusted instructions, additional hints, revised Quest requirements, or other reasonable modifications necessary to preserve the fairness, safety, and integrity of a Treasure Hunt.

Participants acknowledge that such corrections or modifications do not constitute a breach of these Terms and are intended to ensure fair competition for all Participants.

9.12 Preservation of Competition Integrity

The primary objective of Krypto Chase in enforcing these Terms is to preserve the integrity of its Treasure Hunts while providing Participants with a fair, enjoyable, and memorable experience.

Accordingly, Krypto Chase may exercise the authority granted under this Section in a manner reasonably calculated to protect honest Participants, maintain confidence in the competition, and uphold the reputation of Krypto Chase.

Section 10 – Limitation of Liability and Indemnification

10.1 Limitation of Liability

To the fullest extent permitted by applicable law, Krypto Chase, Cohen, Douglas & Lyman, LLC, its affiliated entities, licensors, sponsors, technology providers, contractors, employees, volunteers, officers, directors, members, managers, successors, and assigns shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages arising out of or relating to participation in a Treasure Hunt or the use of the Website, Official Mobile Application, or related services.

This limitation applies regardless of the legal theory asserted, including contract, tort, negligence, strict liability, statute, or otherwise.

10.2 Maximum Liability

To the fullest extent permitted by applicable law, Krypto Chase's total cumulative liability arising out of or relating to any Treasure Hunt shall not exceed the amount actually paid by the Participant to purchase the qualifying product associated with registration for that particular Treasure Hunt, excluding any Advertised Prize that has been officially awarded following winner verification.

Nothing in this Section limits any prize that has been officially awarded pursuant to these Terms and the applicable Official Rules.

Nothing in this Section limits liability to the extent such limitation is prohibited by applicable law.

10.3 No Warranties

Except as expressly stated in these Terms or the Official Rules, the Website, Official Mobile Application, Treasure Hunts, Quests, clues, riddles, maps, software, and related services are provided on an "AS IS" and "AS AVAILABLE" basis.

To the fullest extent permitted by applicable law, Krypto Chase disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of:

Merchantability;

Fitness for a particular purpose;

Non-infringement;

Accuracy;

Availability;

Reliability; and

Uninterrupted or error-free operation.

10.4 Third-Party Property and Services

Krypto Chase is not responsible for the acts or omissions of:

Property owners;

Government agencies;

Parks and recreation authorities;

Wireless carriers;

Internet service providers;

Mapping providers;

Payment processors;

Cryptocurrency exchanges;

Cloud service providers;

Technology vendors;

Sponsors;

Other Participants; or

Any other independent third party.

10.5 Participant Responsibility

Participants remain solely responsible for:

Their own decisions;

Their own travel;

Their own equipment;

Their own physical condition;

Their own financial decisions and expenses;

Compliance with applicable law; and

Their own conduct during participation.

Nothing in these Terms creates any duty on the part of Krypto Chase to supervise, monitor, direct, rescue, or otherwise protect Participants.

10.6 Indemnification

To the fullest extent permitted by applicable law, each Participant agrees to defend, indemnify, and hold harmless Krypto Chase, Cohen, Douglas & Lyman, LLC, its affiliated entities, licensors, sponsors, technology providers, contractors, employees, volunteers, officers, directors, members, managers, successors, and assigns from and against any claims, demands, actions, liabilities, judgments, damages, losses, costs, expenses, and reasonable attorneys' fees arising out of or relating to:

The Participant's violation of these Terms;

Violation of the Official Rules;

Violation of applicable law;

Negligent, reckless, or intentional misconduct;

Injury, death, or property damage caused by the Participant;

Infringement of another person's rights; or

Any act or omission of the Participant in connection with a Treasure Hunt.

10.7 No Responsibility for Participant Conduct

Krypto Chase is not responsible for the conduct, statements, actions, omissions, or decisions of Participants before, during, or after a Treasure Hunt.

Participants assume all risks arising from interactions with other Participants and third parties.

10.8 Force Majeure

Krypto Chase shall not be liable for any delay, interruption, modification, suspension, or cancellation of a Treasure Hunt resulting from circumstances beyond its reasonable control, including but not limited to:

Natural disasters;

Severe weather;

Wildfires;

Flooding;

Earthquakes;

Government actions or emergency orders;

Public health emergencies;

Utility failures;

Internet outages;

GPS or satellite failures;

Cybersecurity incidents;

Failures of third-party technology providers;

Labor disputes;

Civil unrest;

Acts of terrorism;

Armed conflict; or

Any other event beyond Krypto Chase's reasonable control.

10.9 Exclusive Remedies

Except where prohibited by applicable law, the remedies expressly provided in these Terms constitute the Participant's exclusive remedies with respect to participation in a Treasure Hunt.

No failure by Krypto Chase to enforce any provision of these Terms shall constitute a waiver of any right or remedy.

10.10 Severability

If any provision of this Section is determined by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by applicable law.

Any unenforceable provision shall be interpreted, modified, or limited only to the minimum extent necessary to render it enforceable while preserving its original intent to the greatest extent possible.

10.11 Survival

The provisions of this Section shall survive completion of a Treasure Hunt, payment of prizes, disqualification, termination of participation, and termination of these Terms.

10.12 No Guarantee of Success

Registration for a Treasure Hunt provides an opportunity to participate in the competition. It does not guarantee that a Participant will successfully complete any Quest, qualify for a Championship Hunt, receive an Advertised Prize, or recover any costs incurred in connection with participation, including travel, lodging, food, fuel, equipment, admission fees, permits, or other expenses.

Each Participant voluntarily assumes the financial risk associated with participation, regardless of the outcome of the Treasure Hunt.

Section 11 – General Legal Provisions

11.1 Governing Law

These Terms, the Official Rules, and all matters arising out of or relating to participation in a Krypto Chase Treasure Hunt shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles.

11.2 Venue

Unless otherwise required by applicable law, any legal action or proceeding arising out of or relating to these Terms, the Official Rules, or participation in a Treasure Hunt shall be brought exclusively in the state or federal courts located within the State of Utah.

Each Participant consents to the personal jurisdiction of such courts and waives any objection based upon venue or forum non conveniens.

11.3 Informal Resolution of Disputes

Before initiating legal proceedings, a Participant agrees to make a good-faith effort to resolve any dispute by providing written notice to Krypto Chase describing the nature of the dispute and the relief requested.

Krypto Chase shall have thirty (30) days after receipt of such notice to attempt to resolve the matter informally.

Nothing in this Section prevents either party from seeking temporary or permanent injunctive relief where appropriate.

11.4 Limitation Period

To the fullest extent permitted by applicable law, any claim arising out of or relating to these Terms or participation in a Treasure Hunt must be commenced within one (1) year after the claim arises.

Claims not commenced within that period shall be permanently barred.

11.5 Assignment

Participants may not assign, delegate, or transfer any rights or obligations under these Terms without the prior written consent of Krypto Chase.

Krypto Chase may assign these Terms, in whole or in part, to any successor, affiliate, purchaser, merger partner, or other entity without Participant consent.

11.6 Waiver

No waiver by Krypto Chase of any provision of these Terms shall constitute a continuing waiver or a waiver of any other provision.

Any waiver must be in writing and signed by an authorized representative of Krypto Chase.

Failure to enforce any provision on one occasion shall not prevent enforcement of that provision on any future occasion.

11.7 Severability

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Any invalid provision shall be interpreted, modified, or limited only to the minimum extent necessary to make it enforceable while preserving its original purpose to the greatest extent possible.

11.8 No Partnership or Agency

Participation in a Treasure Hunt does not create any partnership, joint venture, agency, employment, fiduciary, or other legal relationship between a Participant and Krypto Chase.

11.9 No Third-Party Beneficiaries

Except as expressly provided in these Terms, nothing contained herein is intended to confer any rights or remedies upon any person or entity other than Krypto Chase and the applicable Participant.

11.10 Interpretation

Section headings are provided solely for convenience and shall not affect the interpretation of these Terms.

These Terms shall be interpreted fairly and according to their plain meaning and shall not be construed against either party solely because one party participated in drafting them.

11.11 Notices

Questions regarding these Terms or other legal notices may be directed to Krypto Chase using the contact information published on the Website.

Krypto Chase may provide notices to Participants by email, through the Official Mobile Application, on the Website, or by any other reasonable method permitted by applicable law.

Krypto Chase may update its contact information from time to time without requiring amendment of these Terms.

11.12 Survival

Any provision of these Terms that by its nature should survive completion of a Treasure Hunt, payment of prizes, disqualification, termination of participation, or expiration of these Terms shall remain in full force and effect.

Such provisions include, without limitation, those relating to intellectual property, media rights, privacy, indemnification, limitation of liability, taxes, governing law, dispute resolution, publicity rights, and any licenses granted by Participants.

11.13 Legal Entity

Krypto Chase is a business operated by Cohen, Douglas & Lyman, LLC, a Utah limited liability company.

References throughout these Terms to "Krypto Chase," "Company," "we," "our," or "us" refer to that entity together with any lawful successors or assigns operating the Krypto Chase business.

11.14 Amendments

Krypto Chase reserves the right to amend these Terms from time to time as provided in Section 1.

Any amendment shall apply prospectively and shall not materially alter the rules governing an ongoing Treasure Hunt except as reasonably necessary to preserve Participant safety, comply with applicable law, or protect the integrity of the competition.

Section 12 – Spirit of Krypto Chase

12.1 Our Mission

Krypto Chase exists to inspire adventure, curiosity, exploration, creativity, and good sportsmanship through unique location-based Treasure Hunts.

Our Treasure Hunts are designed to encourage Participants to discover remarkable places, solve challenging puzzles, work together, think creatively, and create lasting memories.

We believe that the journey is as meaningful as the destination.

12.2 Spirit of Competition

Krypto Chase is founded upon the principles of fairness, integrity, respect, and adventure.

Participants are encouraged to compete honorably, celebrate the accomplishments of others, and approach each Treasure Hunt with enthusiasm, creativity, perseverance, and respect for fellow Participants, property owners, local communities, and the natural environment.

Winning is an achievement worthy of celebration, but the experience of participating is intended to be rewarding for every Participant.

12.3 Innovation and Creativity

Krypto Chase Treasure Hunts reward thoughtful research, observation, puzzle-solving, navigation, strategic thinking, teamwork, and perseverance.

Participants may use any lawful publicly available resources, including maps, books, online research tools, and artificial intelligence tools, unless a particular Treasure Hunt's Official Rules expressly provide otherwise.

The purpose of a Treasure Hunt is not to limit creativity or innovation, but to reward those who most effectively combine available resources with sound judgment, determination, and successful execution.

12.4 Stewardship

Krypto Chase encourages every Participant to leave each location in the same or better condition than it was found.

Participants are encouraged to respect public lands, private property, businesses, historical sites, cultural resources, wildlife, and the communities that host Treasure Hunts.

The continued success of Krypto Chase depends upon Participants serving as positive ambassadors for outdoor recreation and responsible exploration.

12.5 Looking Forward

Krypto Chase intends to build a lasting community of adventurers united by a shared passion for exploration and discovery.

Each Treasure Hunt contributes to the history of Krypto Chase, and every Participant plays a role in shaping that history.

Whether a Participant wins or not, Krypto Chase hopes each Treasure Hunt creates stories worth remembering and adventures worth sharing.

Section 13 – Acceptance of Terms

13.1 Agreement

By purchasing a qualifying Krypto Chase product, registering for a Treasure Hunt, creating an account, accessing the Website or Official Mobile Application, participating in any Quest, or otherwise taking part in any Krypto Chase activity, each Participant acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions, the applicable Official Rules, and the Krypto Chase Privacy Policy.

If a Participant does not agree to these Terms, the Participant must not register for or participate in a Treasure Hunt.

The Participant further acknowledges that these Terms may be amended in accordance with Section 1.6.

13.2 Electronic Acceptance

Electronic acceptance of these Terms through the Website, the Official Mobile Application, or any other electronic registration process designated by Krypto Chase shall have the same force and effect as a handwritten signature to the fullest extent permitted by applicable law.

13.3 Effective Date

These Terms and Conditions are effective as of the date first published by Krypto Chase and shall remain in effect until amended or replaced by Krypto Chase in accordance with these Terms.

The version in effect at the time a Participant registers for a particular Treasure Hunt shall govern that Participant's participation in that Treasure Hunt unless otherwise required by applicable law.
